TERMS & CONDITIONS

These Terms and Conditions govern the provision of services by Digidoo Solutions – Odoo Experts, including Odoo ERP consulting, configuration services, and training. By contracting our services, the client fully accepts these Terms and Conditions without reservations.

1. Services Provided
   A Digidoo Solutions offers the following specialized Odoo ERP services:
2. • Odoo ERP Consulting: Assessment of the client’s needs, advisory services, and development of customized strategies for the implementation of Odoo solutions.
   • Configuration and Implementation: Installation, configuration, and customization of Odoo modules, workflow optimization, integration with existing systems, and execution of functional tests.​
   • Training and Coaching: On-site or remote training sessions to empower end users and administrators in the efficient use of Odoo ERP.
     
     
3. Hiring Process
4. • Service Request: The client must submit a detailed request outlining their needs.
   • Customized Proposal: After analyzing the client’s needs, Digidoo Solutions will present a proposal outlining the scope of services, timeline, and budget.
   • Proposal Acceptance: The acceptance of the proposal must be formalized in writing or through digital means.
   • Service Initiation: Services will commence after confirmation of the initial payment, as stipulated in the proposal.
     
     
5. Client Obligations
   The client agrees to:
6. • Provide accurate and complete information necessary for the execution of the services.
   • Ensure access to relevant platforms and systems for configuration and testing.
   • Appoint a responsible person to coordinate with the Digidoo Solutions team.
   • Participate in training sessions and review delivered results.
     
     
7. Travel and Associated Costs
   If the services require travel outside Digidoo Solutions’ facilities, the following additional costs will apply, which will be communicated to the client in advance and invoiced separately:
8. • Travel Expenses: Cost per kilometer traveled, calculated according to the company’s current rate or applicable legislation.
   • Travel: Transportation costs, such as airfare, train tickets, vehicle rentals, and others.
   • Accommodation and Meals: Expenses related to lodging and meals during the travel period.
     
     
9. Payments and Financial Terms
10. • Payment Method: Payments shall be made via bank transfer or another pre-agreed method.
    • Payment Terms: Payment shall be made as defined in the proposal, and may be split according to project progress.
    • Delays and Penalties: Late payments will be subject to late interest charges at a rate of 2% per month.
      
      
11. Cancellation Policy
12. • Cancellation by the Client: The client may cancel the services by providing written notice at least 15 days in advance. Any work hours already completed and incurred expenses may be charged.
    • Cancellation by Digidoo Solutions: Digidoo Solutions reserves the right to cancel services in the event of non-compliance with the terms by the client or non-payment.
      
      
13. Confidentiality
    Both parties agree to keep confidential all commercial, technical, and strategic information shared during the project. Disclosure to third parties shall only occur with prior written authorization.
    
    
14. Warranty and Support
15. • Implementation Warranty: Digidoo Solutions guarantees the proper functioning of the implemented configurations for a period of 30 days after service delivery.
    • Additional Support: Ongoing support and maintenance services can be contracted separately.
      
      
16. Limitation of Liability
    Digidoo Solutions liability is limited to the total amount paid for the services provided. The company is not responsible for indirect damages, loss of profits, or failures resulting from third parties or circumstances beyond its control.
    
    
17. Applicable Law and Dispute Resolution
18. • These Terms and Conditions are governed by Portuguese law.
    • Any dispute shall preferably be resolved through mediation. If no agreement is reached, the court of the district where Digidoo Solutions is headquartered shall have jurisdiction.
